Investment Contract - Resort Shares

1. Definitions

For the purposes of this contract, "Investor" means the party subscribing to participation shares in the resort. "Operator" means the company that manages the resort and coordinates all rental, maintenance and commercialization operations.

2. Subject of the Investment

The Investor purchases participation shares in the Bubble Glam Resort. These shares entitle the holder to receive a percentage (8%) of the total revenue generated by the resort, including additional services and collateral activities.

3. Payments and Distribution

Proceeds will be settled monthly through detailed reports. The Investor will have access to a dedicated platform to monitor the resort's revenue, bookings and their share of returns in real time.

4. Investor Rights and Obligations

The Investor is entitled to:

• Receive 8% of the resort's gross monthly revenue
• Access the real-time monitoring platform
• Receive transparent monthly reports
• Withdraw returns to their bank account
• Exercise divestment options according to the provided methods

5. Resort Management

The Operator assumes full responsibility for the management, maintenance, cleaning, marketing and commercialization of the resort. The Investor has no direct operational obligations.

6. Exit Guarantees

The Investor can exit the investment through: (a) transfer of shares to third parties; (b) refund according to a predefined refund schedule; (c) other agreed methods.

7. Operator's Responsibilities

The Operator guarantees maximum transparency in reports, timeliness in payments, maintenance of the resort's quality standards and compliance with current regulations.

8. General Provisions

This contract is governed by Italian law. Any amendment must be signed by both parties in writing.
